Board of Directors meetings are held the third Thursday of every other month, from 6 to 8 PM, and are open to all members and invited guests.  Our meetings are accessible by telephone conference call and Video Conferencing through the University of Hawai'i campuses.
Please make arrangements to join us through your local UH campus Nursing Program or Information Technology office.

HAPN contact persons are:  Hilo - Allen Novak; Maui - Suzanna Dee; Kauai - Marghee Maupin.  Contact us for their e-mail addresses.  If you are in a different area of the state and wish to participate in these meetings via video links, please contact us to make arrangements.

By-Laws

Bylaws of Hawaii Association of Professional Nurses (HAPN)
As amended November 18, 2010

Article 1:  Name

The name of this organization shall be the Hawaii Association of Professional Nurses (HAPN).

Article 2:  Vision

The vision of this organization is to maintain and improve the community’s access to state of the art and science of healthcare through collegial inter-disciplinary endeavor.

Article 3:  Purpose

The purpose of this organization is to be the chosen voice of the nursing profession in establishing policy, regulation and legislation which affects the development and practice of professional nursing in Hawaii.  HAPN will be the choice of Hawaii’s nurses for educational opportunities.

This corporation is organized exclusively for charitable purposes within the meaning of section 501 (c) (6) of the Internal Revenue Code.

Article 4:  Membership

Membership is open to all registered professional nurses.

Article 5:  Dues

Annual membership dues will be sixty dollars.  Membership dues will be reviewed annually by the board of directors (BOD).  Any changes must be approved by a majority of the general membership present at the annual meeting.

Article 6:  Annual Meeting

There shall be a minimum of one meeting of the general membership each year.  The time and place of this meeting will be determined by the BOD.  The membership will be informed at least thirty days prior to the meeting.

The voting body at the annual meeting shall be active members in good standing.  Each active member has a vote.  A quorum at the annual meeting shall be seven members.  Decisions at the annual meeting will be made by majority of the members present.

Article 7:  Officers

Section 1:  Offices

There shall be a president, vice-president, treasurer and a secretary.  These officers shall be the Executive Committee of the Board of Directors.  Members in good standing shall elect the officers.  

The president and vice-president will be elected for a two year term in even numbered years.  

The immediate past-president shall serve in an advisory capacity for two years following their presidency.

The secretary and treasurer shall be elected for a two year term in odd numbered years.

Any vacancies in elected positions will be filled for the remainder of the term by the BOD.  A vacancy in the office of the president shall be filled by the vice-president.  The first officers of HAPN will volunteer for the positions.  

Section 2:  Officer’s Duties

The president shall provide leadership to the organization, be an authorized representative of the organization, and preside over BOD and annual membership meetings.

The vice-president shall attend BOD meetings and carry out any duties assigned by the president.   The vice-president shall fulfill the duties of the president in any event the president is not available.

The treasurer shall attend BOD meetings, take charge of and maintain all financial matters including records and effects of the organization and prepare an annual financial report.

The secretary shall attend BOD meetings, keep a record of all proceedings at all BOD and membership meetings, manage communications to the membership, make minutes available to the membership upon request, and maintain the association records.


Article 8:  Board of Directors

The Executive Committee, the immediate past-president and three elected directors shall be the Board of Directors, the governing body of HAPN.  All members of the BOD shall serve for two years.  No member of the BOD shall serve more than two terms in the same position.  

The elected directors shall be elected for a two year term in even numbered years.

The first elected directors of HAPN will volunteer for the office.  

All members of the BOD are voting members except for the president, who may vote to break a tie or in a secret ballot vote.  

A quorum shall consist of three members of the board of directors.  Meetings may be conducted via electronic means.

Article 9:  Elections

Elections will be coordinated by the Nominating Committee.  Voting members in good standing may be nominated for elected positions.  The call for nominations will be made by the nominating committee and the membership informed of the slate of candidates a month before elections take place.

The elections procedures as specified by the Nominating Committee will be approved the by the BOD.   Elections will be held in October of each year.  Voting may include electronic means.  Elected offices will be occupied in January.

Article 10:  Committees

The committees of HAPN shall be standing or ad hoc.  Each committee shall have a chair appointed by the President subject to approval of the BOD.  The President shall be an ad hoc member of all the committees.  Committee members shall be volunteers.

Committees are advisory to the BOD and shall report to the BOD semi-annually or as requested.  Committees shall assume such duties as specified in these bylaws.

Standing Committees:

Finance committee shall consist of the president, treasurer and other appointed members and will develop and review the fiscal procedures of the organization.  

Education committee shall plan and coordinate educational opportunities.

Ad Hoc Committees:

Nominating committee shall call for nominations for elected positions, prepare a slate of candidates and organize elections.  

Legislative committee shall monitor proposed statutory and rule changes affecting nursing and healthcare in the State of Hawaii and introduce legislation as appropriate.  


Bylaws committee shall review the bylaws at least every two years and recommend amendments to the BOD.

Marketing and Membership committee shall promote the organization and recruit members.  

Article 11:  Affiliations

It is the intent of HAPN to affiliate with national or regional nursing organizations.  This affiliation will be determined by the BOD.

Article 12:  Amendments

Amendments to the bylaws can be proposed by members. The Bylaws Committee will present proposed amendments to the BOD.  Bylaw amendments will be presented and voted upon at the annual meeting.  Bylaws changes must be approved by two-thirds vote of the members present at the meeting.

Article 13:  Parliamentary Procedure

Parliamentary procedure for the organization shall be that of “Robert’s Rules of Order”, most recent edition.
